CONSTITUTION AND BYLAWS

INCORPORATED UNDER CHAPTER 61

OREGON REVISED STATUTES

As amended in 1995

CHAPTER ONE

GOVERNANCE

1.1 Recognizing the necessity of exercising the government of the Magyar Baráti Közösség, hereinafter called MBK, under certain order and in definite form, its members submit, jointly and severally, to the provisions of this Constitution and Bylaws, including such amendments to them as may be made from time to time.

1.2 Notwithstanding any provision of this Constitution and Bylaws, the MBK may not engage in any activity not in accordance with the purposes for which it is organized, as expressly stated in its Articles of Incorporation [as amended], or in any activity not permissible under applicable portions of Chapter 61 of Oregon Revised Statutes; or in activities not permitted to be carried on by a corporation exempt from Federal income tax under section 501(c)(3) of the U.S. Internal Revenue Code of 1954.

1.3 Except for such special rules of order as the MBK may adopt, its parliamentary procedure shall be governed by Robert's Rules of Order, Newly Revised (1970).

CHAPTER TWO

GENERAL PRINCIPLES

2.1 The MBK, while holding to Magyar traditions in both the internal and the external manifestations of religious life, does not seek to promote any fixed set of doctrines, nor does it prescribe any dogma that its members must accept as a condition of their membership. Rather, it makes the finest of Magyar traditions, those of freedom, reason and tolerance in matters religious its fundamental tenet.

2.2 In referring to the Magyar tradition, the MBK includes all religious and religious-cultural Magyar tradition and does not limit itself to that of any single organized Magyar denomination, received, accepted or tolerated, nor to the tradition of all such denominations taken collectively.

CHAPTER THREE

MEMBERSHIP

3.1 Any Magyar has the right to become a member of the MBK. Membership is granted upon written application and payment of the minimum dues specified in the appropriate section of the Bylaws.

3.1.1 An is defined as follows: anyone at least in his/her 18th year of life, or anyone who is, or has been, legally married, or anyone not dependent on another for material support.

3.1.2 A Magyar is defined as follows: anyone ever a member of the Magyar Nation in terms of Law 1868:XLIV of the Kingdom of Hungary, declaring all citizens of Hungary to be equal members of the one and indivisible Magyar Nation, without regard to ethnic origin; any descendant of such a person, natural or adopted; and the legal spouse of any of the former.

3.2 Any not entitled to membership under the preceding may petition the MBK for admission. If of good moral character and able to demonstrate a sincere desire to affiliate, such a person will be accepted and will, upon payment of dues, gain full rights and privileges in the MBK.

3.3 No distinction whatever is made between persons admitted under §3.1 or §3..2 above.

3.4 A minor child of a member is a member by virtue of his or her parent's membership until such time as he/she reaches status, as defined under §3.1.1. Such members must thereafter, and of their own volition, confirm their intention of continuing as regular, active members of the MBK.

3.5 All members of the MBK have the right to participate in the activities of the MBK, and the duty to support its activities.

3.6 All active members have the right to vote for officers of the MBK and on amendments to the Constitution and Bylaws of the Corporation. They have the privilege of serving as officers of the organization, provided they meet the qualifications of a particular office and are selected for, elected or appointed to such office.

3.6.1 MBK members who have reached their 15th birthday but have not yet reached their 18th birthday have the right to vote for youth councillors only.[Addendum, 1988]

3.7 Any member who for one calendar year shall not have fulfilled the obligations of membership, will be removed from the roll of active members.

3.8 Membership may be reactivated at any time. Once bestowed, it may not be revoked, except in terms of §3.7.

3.9 The right of individuals to maintain, concurrently with their membership in the MBK, affiliation with other organizations, including denominational bodies, shall not be infringed upon.

3.10 All members of the MBK are urged to deepen constantly their knowledge of the Magyar language to insure their ability to participate fully in the work of the organization.

CHAPTER FOUR

LANGUAGE

4.1 The language of the MBK is Magyar, for both ceremonial and internal business purposes. Nevertheless, the use of English, or of other languages is permitted whenever such use is fitting, desirable or necessary.

CHAPTER FIVE

OFFICERS

5.1 Officers of the MBK are vocational [hivatásos], elected [választott] or appointed [kinevezett].

5.2 Vocational officers are chaplains [lelkészek] of the MBK. They are persons of good moral character and exceptional ability who serve the organization as its religious workers, leaders and teachers.

5.2.1 Chaplains have as their particular trust the ceremonial functions of the MBK and bear prime responsibility for its educational programs.

5.2.2 Chaplains are charged with advising and assisting the elected and appointed officers of the MBK in the performance of their duties.

5.3 The office of chaplain, in its various grades, does not bestow any rights or privileges upon its wearers not accorded the general membership. On the contrary, chaplains bear greater responsibilities than other members, and the higher a chaplain's grade, the higher his/her responsibilities.

5.4 A minimal qualification for chaplain is a good command of the Magyar language, both spoken and written, as well as of the language of the country, state or province in which he is to perform his work. Other qualifications are established and made public by the MBK Council [tanács] from time to time.

5.5 Elected officers of the MBK are its President [gondnok], the Chairman of the MBK Council [tanácselnök] and the elected councillors [tanácsosok].

5.6 The MBK President is elected by the membership at large for a term of three years, and may be reelected. The President shall serve until the end of his or her term or until a successor is elected. [Modified 1991]

5.7 The President is the head of the MBK and its chief executive officer. As such, he or she is responsible for the general welfare of the organization and for the management of its overall affairs and activities.

5.8 The President must be a resident of the United States; at least thirty years of age; must possess a superior knowledge of Magyar and English, spoken and written; he or she should enjoy the respect of the general community, and possess sufficient material means to allow him to wear his office and carry out his duties with dignity.

5.9 The President nominates all appointed officers of the MBK and may recommend their dismissal, subject to the approval of the MBK Council.

5.10 The President has the power to veto decisions of the MBK Council. A vote of two-thirds of the entire Council is required to override his veto.

5.11 The Chairman of the MBK Council is the head of the Council. He or she is elected by the Council from among those of its own members whose terms as councillors will not expire during that year. [Modified 1991]

5.12 The Chairman presides over the meetings of the Council and names the acting Secretary of the Council (jegyzô). He/she becomes Acting President (ideiglenes gondnok) in case the latter is for any reason unable to carry out his duties, or until such time as a new president is elected.

5.13 Each councillor is elected by the membership at large for a term of three years, and may be reelected.

5.14 The councillors are voting members of the MBK council. Except for youth councillors, they must be at least twenty-five years of age, possess a sufficient knowledge of Magyar and English for conducting the business of the Council, and have sufficient material means for discharging their duties with dignity. 5.14.1 Youth councillors represent the young people of the MBK. Youth councillors must be between the ages of sixteen and twenty-four at the time of their election, and must be members of the MBK either through their parents' membership, or in their own right. [Added 1985]

5.15 Appointed officers of the MBK are members of the MBK Secretariat [intézoség], and include, but are not limited to, the following:

5.15.1 Secretary [titkár] in charge of record-keeping

5.15.2 Treasurer [kincstárnok] in charge of accounting and general finances

5.16 The power to establish, abolish, combine or alter appointed offices as needed in addition to the above is vested in the MBK Council.

5.17 Appointed officers are ex-officio members of the MBK Council but have no vote in that body unless they have concurrently been elected thereto.

5.18 All appointed officers must have the same qualifications as councillors and must, in addition, be competent in the area of specialization for which they are to be appointed.

5.19 All elected and appointed officers, except for the councillors, may appoint their own assistants, subject to the approval of the MBK Council. Such persons are secondary appointees and are not numbered among the officers of the MBK.

CHAPTER SIX

ORGANIZATION AND ADMINISTRATION

6.1 All power of the MBK is vested in its general membership.

6.2 The agencies through which the membership exercises its sovereignty are the MBK Congress (közgyu"lés), the MBK Council and the office of the President.

6.3 The highest judicatory of the MBK is the body politic of the membership, as expressed in the MBK Congress.

6.4 The MBK Congress meets yearly on Friday of the week containing the twentieth day of August, unless that day is a Saturday, in which case it meets on the Friday following; it meets at a place chosen by the MBK Council and announced no later than ninety days in advance of the above date. In 1997 and thereafter, the MBK Congress will meet on the first Wednesday following the first Monday in August. [Modified 1985, 1995]

6.4.1 If the annual meeting is not held on the designated date, the President, or the MBK Council, may call the annual meeting on a date and at a place fixed by them not more than sixty days after the date designated in §6.4.

6.4.2 If the annual meeting is not held on the designated date, nor during the sixty day period thereafter, the annual meeting may be called by one-twentieth of the active members. In such event, notices shall be given not more than fifteen days after the expiration of such sixty-day period.

6.4.3 Special meetings of the membership may be called by the President or by the MBK Council, or by one-twentieth of the active members.

6.4.4 Notice of all meetings, except as designated in §6.4, shall be delivered not less than seven, nor more than fifty days before the date of such meetings, by mail, by or at the direction of the President, or the Secretary, or the officers or persons calling the meeting, to each active member. Such notice is deemed delivered when deposited in the U.S. mail, with full postage thereon, addressed to the member at his most recent address as it appears on MBK records.

6.5 The MBK Congress provides members with an opportunity to express their views on the outstanding issues and problems facing the MBK. All active members have the right to attend the Congress and to speak to and vote on questions or issues before it.

6.6 The MBK Congress receives the reports of the MBK Council and of the President.

6.7 Voting by proxy in the MBK Congress is not permitted.

6.8 The highest policy-making body of the MBK is the MBK Council.

6.9 The MBK Council is composed of the College of Councillors [választmány], the Council of Chapter Presidents [gyülekezeti gondnokok tanácsa], of the MBK President, and of the immediate past MBK President, if there be one. Appointed officers of the MBK sit on the Council but have no vote in its deliberations.

6.10 The College of Councillors is made up of nine elected councillors. They are elected by the general membership for three years so that the term of three of them expires every year. [Modified1990]

6.10.1 In addition to the councillors named above, the general membership may elect a youth councillor for a term of two years. The youth councillor is a voting member of the Council. [Added 1985; amended 1988]

6.11 The Council of Chapter Presidents is comprised of all chapter presidents, the leaders of the particular chapters [gyülekezetek].

6.11.1 In meetings of the MBK Council, a chapter president may be represented by his official designee.

6.12 The MBK Council will hold a meeting at least once every year in conjunction with the convocation of the MBK Congress. It may hold special meetings whenever the President or a majority of the Council deem it necessary. Notice of such meetings shall be given not less than seven, nor more than fifty days in advance of the meeting.

6.13 Between meetings the MBK Council will conduct its business by means of telecommunications.

6.14 Fifty percent of the membership of the MBK Council will, at any meeting, constitute a quorum for the conduct of business and deciding issues.

6.15 The MBK Council decides issues with a simple majority vote, except that a two-thirds vote of the entire Council is required to override the veto of the President.

6.16 The MBK Council makes long-range plans for the MBK, approves budgets, makes and revokes appointments, creates and abolishes appointive offices, names, promotes, suspends and dismisses vocational officers, impeaches and tries elected officers, including its own members, adjudicates questions brought before it by the general membership, oversees local organizations, acts as comptroller over the Secretariat, undertakes special projects, and deals with all other matters that may be brought before it from time to time.

6.17 The MBK Council may create or establish such standing or ad-hoc committees and commissions as it deems necessary and delegate authority to them for carrying out particular tasks. At least one member of such a body must be a member of the MBK Council.

6.18 The Secretariat is the executive body of the MBK. It supervises and carries out the overall administration of the MBK both internally and externally.

6.19 The Secretariat is composed of the MBK President, the Secretary, the Treasurer, and of all other appointed MBK officers.

6.20 The Secretariat prepares budgets, keeps records, collects dues, raises funds, recruits members, publishes and distributes materials, carries out projects, public relations, charitable, educational and social-service activities, and performs whatever tasks the effective administration of the foregoing may necessitate.

CHAPTER SEVEN

LOCAL ORGANIZATIONS

7.1 On the local (regional) level, the MBK consists of chapter [gyülekezet] and circle [kör] organizations.

7.2 A chapter consists of at least five active, members and may be made up of one or more circles.

7.3 A chapter may be organized only by authority of the MBK Council. It may come into being either at the initiative of the MBK Council or by petition.

7.4 At the head of each chapter is an elected chapter president [gyülekezeti gondnok].

7.4.1 The chapter presidents should meet the same qualification as MBK councillors, as stipulated under §5.14.

7.5 In addition to its president, each chapter elects a board [gyülekezeti tanács] of at least two members, one of whom acts as notary [gyülekezeti jegyzô], the other as treasurer.

7.6 All elected officers of a chapter serve for three years. They may be reelected. [Amended 1988].

7.7 Every chapter should have, among its members, a recognized chaplain. If a chapter has no recognized chaplain in its midst, it should designate one of its members to act in that capacity.

7.8 The chapter board is entrusted with all property of the chapter.

7.9 The chapter board reports all chapter activities to the MBK Council through the Secretary of the MBK.

7.10 The MBK Council has the sole right to dissolve inactive chapters. A chapter will be deemed inactive if it has conducted not business for a period of one year.

7.11 If, after careful investigation, the MBK Council finds that a chapter board are not discharging their duties, it has the power to suspend or depose such board, and to appoint a commission for the conduct of the chapter's affairs until such time as a new board can be elected.

7.12 A circle is a group of MBK members who live in close geographic proximity to each other and/or have common functional, social, artistic etc. interests.

7.13 Every circle is a part of a chapter. An individual may belong to any number of circles within a chapter.

CHAPTER EIGHT

AFFILIATION OF OTHER ORGANIZATIONS

8.1 An unincorporated local (regional) association with aims and goals similar to those of the MBK may become a recognized chapter of the MBK by petitioning the MBK Council and by subscribing to the provisions of this Constitution and Bylaws.

8.1.1 If such an association has a written constitution or bylaws of its own, these must be brought into substantial agreement with this Constitution and Bylaws before affiliation can take place.

8.2 An affiliating unincorporated association may keep its traditional name after recognition as an MBK chapter, provided such a name is not incongruous with the stated goals and purposes of the MBK and with the principles of this Constitution and Bylaws.

8.3 The merger of an incorporated organization into the MBK is governed by applicable laws of the State of Oregon and of the state in which the merging organization is chartered.

CHAPTER NINE

NOMINATIONS AND ELECTIONS

9.1 Nominations for all elective offices of the MBK originate in the MBK Council and from the floor of the MBK Congress.

9.1.1 Nominations may also be initiated by any member of the MBK in writing. Such nomination must be submitted to the Secretary of the MBK no sooner than one month before, nor later than one month after the stated annual meeting of the MBK Congress, and will become official with the endorsement of the MBK Council, or with the support of one-twentieth of the active membership.

9.1.2 It is the duty of the MBK Council to obtain, from each nominee, an agreement to serve, before his name may be placed on an official ballot.

9.2 In any election, the number of nominees must exceed the number of positions to be filled.

9.3 To oversee elections, the MBK Council will establish an ad-hoc committee in each instance, to be composed of persons who are not themselves nominees for office, nor members of the Secretariat. This committee is responsible for the setting of deadlines, distributing and receiving ballots and for tabulating election results.

9.4 All voting for elected officers and for amendments to this Constitution and Bylaws, as well as for MBK Resolutions, is be secret ballot by mail.

9.5 Candidates receiving the highest percentage of the vote are elected.

9.6 In case of ties, the election is thrown into the MBK Council, where a majority vote of the entire Council will decide the winner.

9.7 The time of elections must be in conformity with the appropriate section of the Bylaws.

CHAPTER TEN

AMENDMENTS

10.1 Amendments to this Constitution may originate in the following ways:

10.1.1 If one-third of the chapters supports a proposal for amendment, or

10.1.2 if the MBK Council supports a proposal for amendment, or

10.1.3 if one-twentieth of the active, membership supports a proposal for amendment.

10.2 A duly made proposal for amendment will be introduced at the next meeting of the MBK Congress, where it will be discussed and either approved or rejected by a simple majority of those present and voting. If approved, the proposed amendment will be placed on a referendum ballot at the next regularly scheduled election. A two-thirds majority of those voting will amend the Constitution.

10.3 The Bylaws may be amended as follows:

10.3.1 Proposals for amending the Bylaws may originate in the MBK Council, in any chapter, by petition of one-twentieth of the active membership, or from the floor of the MBK Congress. A vote of a simple majority of either the MBK Council or of the MBK Congress will place such a proposal on the ballot during the next election.

10.3.2 The Bylaws are amended by a simple majority of the ballots received.

CHAPTER ELEVEN

FINANCES

11.1 The income of the MBK is derived from dues, contributions, donations and bequests, and from whatever income-producing properties the MBK may own or activities it may engage in, as permitted under the provisions of §1.2 above.

11.2 The minimal financial contribution of members is established in the Bylaws.

11.3 Each chapter has the right to level an assessment on its members beyond MBK dues. However, non-payment of local dues does not affect active MBK membership.

11.4 In case a chapter is dissolved, such property as it may hold will be disposed of as the MBK Council may direct.

11.5 A particular chapter may not sell, mortgage or lease any of its real property nor any non-expendable equipment, without the express approval of the MBK Council.

11.6 The sole right to enter into contracts for the MBK is vested in the MBK Council. No chapter or individual has the right to enter into contracts on behalf of the MBK.

CHAPTER TWELVE

COMPENSATION FOR SERVICE

12.1 Elected officers of the MBK and its chapters serve without pay. They may, however, receive allocations for such paid assistance as is required in the performance of their duties, and may be reimbursed for such personal expenses as they incur in carrying out their official functions.

12.1.1 Any reimbursement must have the authorization of the MBK Secretariat and is subject to audit by the MBK Council.

12.2 The MBK Council has the right to employ or retain such personnel, with compensation, as it may find necessary for the performance of its work. Appointed officers may be employees of the MBK unless they are concurrently serving in an elected capacity also.

12.2.1 A chapter may request paid assistance but may not directly engage employees. All employees are retained by the MBK Council.

12.3 No chaplain may accept honoraria for services rendered the MBK without the express permission of the MBK Council.

BYLAWS

I

The term of office of all elected officers begins with the first day of the calendar year immediately following the year in which they are elected. A term expires on the last day of the calendar year during which an elected officer is to serve. Officers serve until the expiration of their terms or until their successors have been elected.

II

Regular elections for MBK offices and/or referenda must be scheduled to fall no sooner than forty-five, nor more than ninety days after the stated meeting of the MBK Congress

III

Any member who shall have contributed, in any calendar year, a minimum of twenty-five dollars to the MBK, will be deemed to have paid minimal dues for himself and for his spouse; except that no-one who pledges a given amount in excess of minimum dues will be considered to have met his financial obligations, or that of his spouse, until the amount so pledged for the calendar year in question shall have been paid. IV

The MBK Council has the right to waive the requirement of dues in cases of hardship.

ARTICLE II The purposes for which the corporation is organized are:

The Magyar Baráti Közösség (Hungarian Communion of Friends) is a non-profit corporation organized for the purpose of promoting and supporting independent, non-denominational religious life in the Magyar (Hungarian) tradition, charitable work by and among people of Magyar extraction, and cultural-educational endeavors that further established Magyar values. In carrying out its purposes, the Magyar Baráti Közösség may engage in any lawful activity, none of which is for profit, for which corporations may be organized under ORS Chapter 61.

ARTICLE III The address of the initial registered office of the corporation is 3306 S.E. Taylor St., Portland, Oregon 97214 and the name of its initial registered agent at such address is Louis J. Elteto

Assets remaining after all liabilities and obligations of the Magyar Baráti Közösség will have been paid, satisfied or discharged or adequate provisions made therefor and assets held conditionally returned, transferred or conveyed in accordance with binding requirements, shall be transferred or conveyed to one or more domestic or foreign corporations engaged in activities substantially similar to those of the Magyar Baráti Közösség, to wit, religious, charitable or cultural-educational work by or among people of Magyar (Hungarian) extraction, in compliance with the pertinent provisions of ORS Chapter 61.

ARTICLES OF AMENDMENT

of

Magyar Baráti Közösség

Pursuant to ORS 61.370 these Articles of Amendment were adopted by the undersigned corporation:

1. The present (not new) corporate name is Magyar Baráti Közösség

2. The following amendment of the Articles of Incorporation was adopted in the manner prescribed by the Oregon Nonprofit Corporation Act:

ARTICLE II: The purposes for which the corporation is organized are: to promote non-denominational religious life in the Hungarian tradition, charitable work by and among people of Hungarian extraction, and cultural-educational endeavors that further Hungarian values. The Corporation is organized exclusively for the above purposes, within the meaning of section 501(c)(3) of the U.S. Internal Revenue code. Notwithstanding any other provision of these articles, the Corporation shall not carry on any activity not permitted under ORS Chapter 61, or by an organization exempt from Federal income tax under section 501(c)(3) of the U.S. Internal Revenue Code.

ARTICLE VI: The provisions for the distribution of assets on dissolution or final liquidation are: upon winding up and dissolution of this Corporation, after paying or adequately providing for the debts and obligations of the Corporation, assets remaining shall be distributed to a nonprofit fund, foundation or corporation which has established its tax-exempt status under section 501(c)(3) of the U.S. Internal Revenue Code....

The amendment was adopted at a meeting of the members on August 31, 1979, at which a quorum was present, and the amendment received at least two-thirds of the votes which members present or represented at such meeting were entitled to cast.

We, the undersigned, declare under penalties of perjury that we have examined the foregoing and to the best of our knowledge and belief, it is true, correct and complete.

The undersigned, as Corporation Commissioner of the State of Oregon, hereby certifies that duplicate originals of Articles of Amendment to the Articles of Incorporation, duly signed and verified pursuant to the provisions of the Oregon NONPROFIT Corporation Act, have been received in this office and found to conform to law.

ACCORDINGLY, the undersigned, as such Corporation Commissioner, and by virtue of the authority vested in him by law, hereby issues this Certificate of Amendment to the Articles of Incorporation and attaches hereto a duplicate original of the Articles of Amendment.
